1. Acceptance of Terms
By accessing or using the Jetpack Media website (jetpackmedia.com) or engaging any of our services, you agree to be bound by these Terms and Services ('Terms'). If you do not agree to these Terms, please do not use our website or services. These Terms apply to all visitors, clients, and any others who access or use our services.
2. Services
Jetpack Media provides a range of professional services including, but not limited to:
• Ghostwriting and content creation
• Book development and manuscript services
• Brand strategy and messaging
• White-label creative and editorial services
• Consulting and advisory services for executives and founders
Specific service terms, deliverables, timelines, and fees are set forth in individual Service Agreements or Statements of Work ('SOW') executed between Jetpack Media and the client. In the event of a conflict between these Terms and a signed SOW, the SOW shall prevail.
3. Confidentiality & White-Label Services
Jetpack Media treats all client engagements as confidential by default. Client identities, project details, and proprietary information will not be shared with third parties without consent. However, Jetpack Media reserves the right to reference and display completed work for promotional purposes, subject to the following:
• Jetpack Media will not publicly identify you as a client or reference your specific project without your prior written consent.
• Where a client provides written consent, Jetpack Media may feature completed deliverables — including books, video productions, podcasts, written content, or brand materials — on its website, in its portfolio, or in other promotional contexts as examples of its capabilities.
• All confidential business information, communications, and project details exchanged during the engagement remain protected regardless of any consent to promotional use.
• Any non-disclosure agreement ('NDA') executed between you and Jetpack Media is incorporated herein by reference and supplements these Terms. In the event of a conflict between an NDA and these Terms, the NDA shall prevail with respect to confidentiality obligations.
Clients who wish to keep their engagement entirely private must notify Jetpack Media in writing prior to or at the start of the project. Jetpack Media will honor such requests and will not reference the client or their deliverables in any public-facing materials.
Unless you have requested full confidentiality in writing, Jetpack Media may seek your consent to feature completed work on our website or in our portfolio. Your consent will always be obtained before any such use.
4. Intellectual Property
Upon receipt of full payment for services rendered, Jetpack Media assigns to the client all rights, title, and interest in the deliverables produced under the applicable SOW, including all copyrights therein, unless otherwise specified in writing.
Prior to full payment, all work product remains the property of Jetpack Media. Jetpack Media retains the right to use any general methodologies, frameworks, or non-confidential know-how developed in the course of providing services.
You represent and warrant that any materials you provide to Jetpack Media (including brand assets, source materials, or background information) do not infringe upon any third-party intellectual property rights.
5. Payment Terms
Due to the significant production costs associated with Jetpack Media's services — including video production, podcast recording and editing, book publishing, and other high-investment deliverables — full payment is required upfront before work commences. This policy ensures that production costs are covered and that Jetpack Media can dedicate the full resources necessary to deliver a high-quality result.
• Full payment is due prior to the start of any project or engagement, unless a payment plan has been expressly agreed to in writing.
• At Jetpack Media's sole discretion, a structured payment plan may be offered to qualified clients. Any such arrangement will be set forth in the applicable SOW or a separate written agreement.
• Work will not begin, and no production resources will be allocated, until payment (or the first installment under an approved payment plan) has been received and cleared.
• All fees are non-refundable once work has commenced, except as expressly agreed in writing or required by applicable law.
In the event of a payment plan, missed or late installments may result in an immediate pause of services. Jetpack Media reserves the right to withhold delivery of completed work product until all outstanding balances are paid in full.
Upfront payment protects both parties: it ensures Jetpack Media can fully fund production, and it ensures clients receive uninterrupted, fully resourced service from day one.
6. Client Responsibilities
To ensure successful delivery of services, clients agree to:
• Provide accurate, complete, and timely information, materials, and feedback as reasonably requested.
• Review and approve deliverables within the timeframes specified in the SOW.
• Designate a primary point of contact for the engagement.
Delays caused by the client's failure to provide required materials or approvals may result in adjusted timelines or additional fees.
7. Limitation of Liability
To the fullest extent permitted by applicable law, Jetpack Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services or website, even if advised of the possibility of such damages.
Jetpack Media's total liability to you for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you to Jetpack Media in the three (3) months preceding the claim.
8. Warranties & Disclaimers
Jetpack Media represents that services will be performed in a professional and workmanlike manner consistent with industry standards. However, to the fullest extent permitted by law, all services and website content are provided 'as is' without warranty of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose.
Jetpack Media does not guarantee specific business outcomes, revenue results, or publication outcomes from any services rendered.
9. Termination
Either party may terminate an engagement by providing written notice in accordance with the terms of the applicable SOW. Upon termination:
• The client shall pay for all work completed through the termination date.
• Jetpack Media shall deliver all completed work product for which full payment has been received.
• Confidentiality obligations survive termination indefinitely.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions. Any disputes arising hereunder shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration or litigation in the competent courts of the State of Connecticut.
11. Newsletter & Communications Consent
By providing your email address through our website contact or inquiry forms, you consent to receive a reply to your inquiry and any follow-up communications directly related to your request. Separate consent is required for marketing or newsletter communications, as described in our Privacy Policy. You may withdraw consent for marketing communications at any time.
12. Website Use
You agree to use the Jetpack Media website only for lawful purposes and in a manner that does not infringe the rights of others. You may not:
• Attempt to gain unauthorized access to any part of the website or its underlying systems
• Use the website to transmit harmful, offensive, or unlawful content
• Reproduce, distribute, or exploit any website content without written permission from Jetpack Media
13. Changes to These Terms
We reserve the right to update these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our services after updates constitutes acceptance of the revised Terms.
14. Entire Agreement
These Terms, together with any applicable SOW, NDA, or other written agreement between the parties, constitute the entire agreement between you and Jetpack Media with respect to the subject matter herein and supersede all prior understandings, representations, or agreements.
